Article 1 - Purpose and scope
These Terms of Sale (hereinafter « ToS ») govern the contractual relations between the company HG-HOSTING, registered under SIRET number 991 163 932 00015, whose registered office is located at 2 Allée du Verger, 44170 Nozay, France (hereinafter « HG-Hosting », « the Provider » or « we »), and any natural or legal person acting for purposes falling within the scope of their professional activity or, where applicable, on a non-professional basis (hereinafter the « Customer » or « you »), in connection with the distance selling of hosting services, cloud infrastructure, game servers (in particular Minecraft, FiveM, Rust, Garry's Mod and other environments offered in the catalogue), virtual servers (VPS, VDS), dedicated servers, anti-DDoS proxy (HG-Proxy), as well as associated technical services (installation, configuration, first-level maintenance, backup options where they are billed separately, etc.).
Any order implies full and unreserved acceptance of these ToS, without prejudice to the specific terms appearing on the order form, the accepted quote or the applicable product sheet. In the event of conflict, the provisions of the most specific and most recent document shall prevail for the service concerned.
The Customer acknowledges that they have the legal capacity to contract and, where applicable, to act on behalf of the legal entity they represent. These ToS are drafted in accordance with the French Consumer Code and Civil Code. The mandatory consumer-protection provisions (within the meaning of the introductory article of the Consumer Code) prevail over any contrary stipulation for consumer Customers.
Article 2 - Contractual documents and hierarchy
2.1 - Formation of the contract
The contract is formed by all of the following documents, listed in decreasing order of precedence:
- the specific terms or quote signed or accepted electronically;
- the product or service description sheet as at the date of the order;
- these ToS;
- the Terms of Use (ToU) and the Privacy Policy;
- the guide or technical documentation published on the « hg-hosting.fr » website or the client area.
2.2 - Enforceability of the ToS
The applicable ToS are those in force on the date the order is validated. HG-Hosting reserves the right to amend them at any time. The new ToS will be enforceable against the Customer for any order placed after their publication. For ongoing contracts, a substantial amendment is notified by email or via the client area with a reasonable notice period of at least thirty (30) days; in the event of refusal, the Customer may terminate in accordance with the terms set out in article 12.
Article 3 - Description of services
HG-Hosting offers shared or dedicated hosting services, access to virtualised or physical computing resources, DDoS mitigation via tunnel or proxy, as well as application environments allowing the execution of server software chosen by the Customer. The technical characteristics (processor, RAM, storage, bandwidth, player capacity, licences included or not, etc.) are those described on the site or panel at the time of subscription, subject to equivalent or higher hardware changes notified for the sake of service continuity.
3.1 - Game servers (Minecraft, FiveM, etc.)
For « game server » offers, HG-Hosting provides a runtime environment and the contractual resources. The Customer remains solely responsible for the hosted content, the moderation of their community, compliance with third-party rights (intellectual property, trademarks, licences of the games concerned), as well as compliance with the publishers' terms of use (Rockstar Games, Cfx.re, Mojang, etc.).
3.2 - VPS, VDS and dedicated servers
Where the Customer has administrator access (root, RDP, etc.), they are solely responsible for securing the system, updates, network configuration and the software installed. HG-Hosting may offer managed services or assistance billed separately; failing this, the Provider's liability is limited to the availability of the hosting layer and network connectivity in accordance with these ToS.
3.3 - HG-Proxy (anti-DDoS proxy)
This offer relies on HG-Hosting's single PoP located in Nozay (44) and on the DDoS mitigation subcontractor Netrix (see article 16). No multi-site redundancy is guaranteed on the HG-Hosting side. The 10G uplink port is provided on a Best Effort basis. IPv6 is not available on the proxy. The subscribed capacity (concurrent players), the terms applicable beyond the tier and the price are specified in the product sheet or the quote.
Article 4 - Order and formation of the contract
4.1 - Order process
The Customer selects an offer, provides the requested information (identity, billing, payment method) and validates the order. The order constitutes a firm offer. It becomes final only after acceptance of payment or, for bank transfers and direct debits, actual receipt of the funds, and after anti-fraud verification where applicable.
4.2 - Quotes and bespoke services
For complex configurations (dedicated servers, multi-server solutions), a quote is drawn up on request at administrateur@hg-hosting.fr. Acceptance of the quote by electronic signature, validated click or payment of a deposit according to the terms indicated constitutes conclusion of the contract on the terms of the quote, for the duration and at the price specified therein.
4.3 - Accuracy of information
The Customer guarantees the accuracy of the information provided. Any error (contact email address, billing details) that could lead to a service failure or an inability to recover payment engages the Customer's liability. HG-Hosting may suspend the service in the event of serious inconsistency or suspicion of fraud.
Article 5 - Prices, VAT and revision
Base prices and catalogue rates are stated in euros excluding VAT, unless otherwise specified. The price varies according to the configuration and options selected by the Customer. The total price including VAT is calculated and displayed in the order summary before confirmation. HG-Hosting is subject to VAT under EU VAT number FR70 991 163 932. VAT is charged at the statutory rate in force and is shown separately on invoices.
Any change to the statutory VAT rate applies to amounts becoming due from its effective date, in accordance with applicable regulations.
Promotional prices are valid for the period indicated on the offer. HG-Hosting may revise its prices at the end of a commitment period or at each renewal date. The Customer is informed by email or notification in the client area with notice of at least thirty (30) days before application. In the event of refusal, the Customer may terminate the service concerned before the effective date of the revision, without penalty, subject to compliance with any termination notice period provided for commitment offers.
Any exchange operations or bank charges relating to the Customer's payment method remain the responsibility of the Customer where these are billed by their financial institution.
Article 6 - Payment, invoicing and payment incidents
6.1 - Payment terms
Unless otherwise provided, services are payable in advance for each billing period (monthly, quarterly, half-yearly, annual). The accepted payment methods are those offered on the site or in the client area at the time of order (bank card, SEPA direct debit, bank transfer, prepaid balance where applicable).
6.2 - Invoicing
Invoices are made available in electronic format in the client area and sent to the billing email address. The Customer must keep invoices in accordance with their accounting obligations. Any invoice dispute must be substantiated and sent within a period of thirty (30) days from issuance, to facturation@hg-hosting.fr.
6.3 - Payment terms between professionals
In accordance with article L441-10 of the French Commercial Code, where the Customer is a professional, the agreed payment period for settlement of the amounts due may not exceed sixty (60) days from the date of invoice issuance, or forty-five (45) days end of month if this method of calculation is expressly stipulated. Unless otherwise provided in the quote or order form, services are payable in advance and any departure from standard terms must be the subject of a written agreement.
6.4 - Late or non-payment
In the event of a declined charge, unpaid invoice or non-payment at maturity, HG-Hosting may, without prior notice for urgent situations (abuse, risk to the network) or after formal notice that has remained unsuccessful within a period of seven (7) days in ordinary cases, suspend access to the services concerned and/or terminate the contract.
Professional Customer (B2B) - In accordance with article L441-10 of the French Commercial Code, any sum unpaid at maturity shall bear, automatically and without the need for a reminder, interest at a rate equal to three times the legal interest rate in force. A fixed indemnity of forty (40) euros for recovery costs (article D441-5 of the French Commercial Code) is due automatically, without prejudice to additional compensation upon supporting documents if the costs actually incurred exceed this amount.
Consumer Customer (B2C) - The amounts due shall bear interest at the increased legal rate, in accordance with the provisions of the Consumer Code, from the date of the formal notice. The amounts due remain payable for the period already started.
Article 7 - Commissioning, deadlines and acceptance testing
Unless otherwise stated, HG-Hosting endeavours to activate the subscribed services within the indicative timeframes communicated on the site or by email. These timeframes are given for information purposes and constitute a best-efforts obligation, except where a firm deadline has been expressly agreed in writing with a specific penalty.
The Customer must check the conformity of the delivered service without delay. Any reservation must be notified in writing within seven (7) days following the provision, with supporting evidence (screenshots, logs). After this period, the service is deemed accepted, except for hidden defects or lack of conformity within the meaning of article 8 below.
Article 8 - Legal guarantee of conformity (digital services)
For consumer Customers, and in accordance with articles L224-25-12 to L224-25-26 of the French Consumer Code (transposition of Directive (EU) 2019/770 on digital services), HG-Hosting is required to provide a service that conforms to the contract. As such, HG-Hosting is liable for lacks of conformity existing at the time the service is supplied, which appear during the period of supply.
In the event of a lack of conformity, the consumer may request that the service be brought into conformity. If bringing it into conformity is impossible or if HG-Hosting refuses to do so, or does not comply within a reasonable time, the consumer may obtain a price reduction or rescission of the contract under the conditions provided for by law.
The Customer is further informed that no commercial guarantee replaces the legal guarantee of conformity or the guarantee against hidden defects.
Article 9 - Duration, renewal and tacit renewal
Services are subscribed for the period chosen at the time of order. Unless terminated as notified under the conditions provided for in article 12, the contract is tacitly renewed for successive periods of the same duration, at the price in force on the date of each renewal.
9.1 - Consumer information (L215-1 of the Consumer Code)
In accordance with article L215-1 of the French Consumer Code, where the Customer is a consumer or a non-professional and the fixed-term contract is liable to be tacitly renewed, HG-Hosting informs the Customer in writing, by any appropriate means (in particular email), at the earliest three (3) months and at the latest one (1) month before the end of the current period, of the option not to renew the contract.
Where this information has not been sent to them within the aforementioned time limits, the Customer may terminate the contract free of charge, at any time from the renewal date. Advances made after the last renewal date or, in the case of an open-ended contract, after the date of transformation of the initial fixed-term contract, are in this case refunded within a period of thirty (30) days from the date of termination, less the sums corresponding to the performance of the contract up to that date.
Article 10 - Right of withdrawal (consumers)
10.1 - Principle
In accordance with articles L221-18 et seq. of the French Consumer Code, the consumer has a period of fourteen (14) days from the conclusion of the contract to exercise their right of withdrawal, without having to give reasons for their decision or bear any costs other than those provided for by law.
10.2 - Loss of the right for immediately-provisioned digital services
Our offers (hosting, game servers, VPS, VDS, dedicated, HG-Proxy, etc.) are digital services not supplied on a tangible medium, activated immediately after the order. Accordingly, when validating the order, the consumer:
- expressly requests that performance of the service begin immediately, before the end of the fourteen (14) day period;
- expressly acknowledges that they will lose their right of withdrawal once the service is fully provided, or that performance begun with their agreement before the end of the period deprives this right of its object.
This exclusion is provided for by article L221-28 of the French Consumer Code (1° for fully performed services, 13° for digital content). As a result, from the activation of the service, the right of withdrawal can no longer be exercised.
10.3 - No refund (dematerialised product)
As our services are dematerialised products provisioned upon order, no refund is granted once the service has been activated, including in the event of non-use, early termination or a change of mind by the Customer.
This absence of refund does not deprive the consumer of their mandatory rights: the legal guarantee of conformity (article 8) and the warranty against hidden defects apply in full. Where a service is non-conforming, the consumer may obtain its bringing into conformity, a price reduction or the rescission of the contract under the conditions provided for by law.
On a commercial basis and without being obliged to do so, HG-Hosting may, on a case-by-case basis, offer a credit towards a future service. Any such measure remains discretionary and constitutes neither a vested right nor an acknowledgement of any refund obligation.
10.4 - Terms of exercise where the right remains open
Where the consumer has not requested immediate performance, or where the service has not yet been activated, they may exercise their right of withdrawal within the fourteen (14) day period. They then notify their decision by email to contact@hg-hosting.fr or by post to the address of the registered office. The refund is made within fourteen (14) days following the notification, using the same payment method as that used for the initial transaction, unless otherwise agreed.
10.5 - Model withdrawal form
The consumer may use the model below (to be completed and returned only if they wish to withdraw):
To the attention of HG-HOSTING 2 Allée du Verger, 44170 Nozay, France Email: contact@hg-hosting.fr I / We (*) hereby notify you of my / our (*) withdrawal from the contract relating to the provision of the services below: - Service concerned: - Ordered on (*) / received on (*): - Order number / reference: - Name of consumer(s): - Address of consumer(s): - Signature of consumer(s) (in case of paper notification): - Date: (*) Delete as appropriate.
Article 11 - Customer obligations
The Customer undertakes to use the services in accordance with the laws and regulations in force, these ToS, the Terms of Use (ToU) and the Privacy Policy. They are notably required to:
- respect the privacy and rights of the persons whose data they process;
- not infringe the intellectual property rights of third parties;
- not distribute unlawful content (glorification of crimes, incitement to hatred, child sexual abuse material, etc.);
- not compromise the security of HG-Hosting's systems or those of third parties;
- monitor the use of the allocated resources and respond to the Provider's alerts in the event of abnormal saturation.
The Customer is solely responsible for the content they host, the databases they operate, the user accounts they create and the backups they configure or fail to make outside of the contractual backup options managed by HG-Hosting.
Article 12 - Suspension, termination and consequences
12.1 - Suspension
HG-Hosting may immediately suspend all or part of the services, without notice or indemnity, in the event of:
- serious or repeated breach of the ToS/ToU;
- illegal activities or activities harming the network (attacks, abusive scanning, spam relaying, botnet, etc.);
- inability to secure the infrastructure without interrupting the offending service;
- judicial requisition or legal obligation.
A suspension for non-payment may occur under article 6.4.
12.2 - Termination for breach
In the event of a serious breach by the Customer not remedied within a period of fifteen (15) days after formal notice by email with acknowledgement of receipt, HG-Hosting may terminate the contract automatically. No refund of the current period is due where the Customer's breach is established, without prejudice to any damages that may be claimed.
12.3 - Termination at the Customer's initiative
The Customer may terminate from the client area or by email, subject to compliance with the notice period and the current billed period. No pro rata refund is due for periods already started, except where contractually or legally provided otherwise (in particular article 9.1 for consumers).
12.4 - End of contract and data
Upon expiry or termination of the contract, HG-Hosting may delete the Customer's data after a reasonable grace period notified by email. It is the Customer's responsibility to perform their backups before any termination. A reversibility procedure is described in article 14.
Article 13 - Availability and service level
HG-Hosting implements reasonable means to ensure the availability of the services. However, given the nature of networks and distributed computing, no 100% availability is guaranteed. Interruptions may result from planned maintenance operations (notified where possible), force majeure, failures of third parties (telecom operators, DNS registries, upstream providers, DDoS mitigation subcontractor), or emergency security measures.
Indicative uptime target. The uptime of 99.99% displayed in commercial communications on the site constitutes a quality-of-service target measured over the financial year and linked to a best-efforts obligation. It does not constitute a contractual SLA: no service credit is automatically due below this level in the absence of a separately concluded written SLA agreement.
Where a specific service level agreement (SLA) is concluded and billed separately (for example on the Dedicated Server Enterprise offer), its terms (credits, caps, exclusions) prevail over this article for the part concerned. In the absence of a contractual SLA, any claim for prolonged unavailability is examined on a case-by-case basis by support, without automatic recognition of a right to indemnity.
Article 14 - Liability, limitation and exclusion
HG-Hosting's liability can only be engaged in the event of proven fault directly attributable to it. It is, all causes combined, limited to the amount billed to the Customer for the service concerned over the twelve (12) months preceding the triggering event, except for personal injury, wilful misconduct or proven gross negligence.
HG-Hosting cannot be held liable for indirect or intangible losses (loss of turnover, loss of customers, loss of data where the Customer has not subscribed to a backup option or has not made their own copies, damage to image, etc.) where such losses are not the direct and foreseeable consequence of a fault of the Provider.
Consumer protection. These limitations and exclusions do not apply to the extent that they would be considered unfair within the meaning of articles L212-1 and R212-1 of the French Consumer Code where the Customer is a consumer, nor in the event of gross negligence or wilful misconduct by HG-Hosting. The legal guarantee of conformity provided for in article 8 applies fully.
The Customer acknowledges that hosting game servers and applications exposed on the Internet entails inherent risks; they remain responsible for securing their applications, passwords, API keys and administrator access.
Article 15 - Backups and data integrity
The backup policy depends on the subscribed offer and is specified on the applicable product sheet:
- Game servers - automatic backups that can be scheduled via the panel, within the limit of the backup slots included with the offer.
- VPS / VDS / Dedicated servers - snapshots available via the panel; no managed backup is included by default unless expressly stated by the offer.
- HG-Proxy - network service with no application data stored at HG-Hosting; not concerned by backups.
Except for the express stipulation of an offer including managed backups with recovery point objectives (RPO) and recovery time objectives (RTO) defined in writing, HG-Hosting does not guarantee the existence or full restoration of copies of the Customer's data. The Customer is invited to set up a redundant backup strategy (local, remote, versioning).
In the event of a disaster, file corruption, human error by the Customer or attack on the Customer's instance, HG-Hosting reasonably endeavours to assist the Customer within the limit of the technical means available, with no obligation of result regarding the full recovery of data.
Article 16 - Subcontracting and location of processing
HG-Hosting uses technical subcontractors for the provision of the services. In accordance with article 28 of the GDPR, the Customer is informed of the following main subcontractors:
- Netrix - French DDoS mitigation operator (24 Tbps+): upstream volumetric scrubbing layer for the HG-Proxy offer and any offer including network anti-DDoS protection.
- Physical hosting - datacenter located in France (Nozay, 44). All customer machines are operated on this single site.
The up-to-date list of subcontractors, the countries of processing and the applicable guarantees are set out in the Privacy Policy. Any substantial change (addition, removal of a subcontractor processing personal data) is notified according to the terms provided for amendments to the ToS.
Article 17 - Intellectual property and licences
The software, panels, trademarks, knowledge bases and documentation provided by HG-Hosting remain its intellectual property or that of its licensors. The Customer benefits from a non-exclusive right of use, non-transferable except by written agreement, for the duration of the contract and within the scope of normal use of the service.
The Customer grants HG-Hosting, for the purposes of performing the contract, a limited licence to use the content they host, solely to the extent necessary for storage, distribution over the network at the request of end users and legal compliance (in particular LCEN procedures / notifications).
Article 18 - Force majeure
The parties may not be held liable in the event of force majeure within the meaning of article 1218 of the French Civil Code, in particular natural disasters, fires, floods, wars, riots, governmental acts, general strikes, massive outages of Internet infrastructure or electricity suppliers, cyberattacks of exceptional scale beyond sector diligence standards, provided that the event makes performance temporarily impossible and that the affected party informs the other as soon as possible.
Article 19 - Governing law and jurisdiction
These ToS are governed by French law. For professional Customers, attribution of jurisdiction: the competent courts of the district of HG-Hosting's registered office, unless mandatory provisions provide otherwise. For consumers, the jurisdiction allocation rules of the Consumer Code apply (article R631-3).
Article 20 - Miscellaneous
If a clause of these ToS were declared null or unenforceable, the other provisions would retain their enforceability. The failure by HG-Hosting to immediately exercise a right does not constitute a waiver of the right to rely on it subsequently.
The Customer accepts that contractual notifications may be sent to the email address associated with the customer account, which is deemed to be proof of sending unless proven otherwise.
Article 21 - Customer support and complaint handling
21.1 - Channels and hours
HG-Hosting provides contact channels (tickets in the client area, email, community Discord depending on the subscribed offer). The indicative response times communicated on the site or in the client area constitute a best-efforts and not a result commitment, except for a specific and distinct contractual SLA.
21.2 - Scope of support
First-level support covers the availability of the hosting platform, hardware or network incidents within the HG-Hosting scope, and panel access questions. It does not include in-depth debugging of the Customer's application code, advanced configuration of third-party frameworks, or optimisation of game mods unless an additional billed service is provided.
21.3 - Complaint procedure
Any complaint must be made in writing with factual elements (dates, service identifiers, screenshots, non-sensitive log excerpts), sent to contact@hg-hosting.fr. HG-Hosting acknowledges receipt within a reasonable time and proposes an analysis. Failing an amicable resolution, the dispute falls within the jurisdiction of the competent courts under the conditions set out in article 19.
Article 22 - Reversibility, portability and end of relationship
At the Customer's request during the term of the contract or within a period of thirty (30) days following termination, HG-Hosting facilitates, within the limit of the technical means available, the export of the Customer's data in standard formats (archives, SQL dumps where the offer allows, disk images on quote for dedicated servers). Time-based charges may be billed to the professional Customer if the export exceeds ordinary operations; no charge is requested from the consumer Customer for the simple recovery of their data.
The Customer remains responsible for planning the migration to a new host and for service continuity (DNS, IP switchover, TTL). HG-Hosting does not guarantee compatibility with the environment of the third-party provider chosen by the Customer.
Article 23 - Assignment, change of holder and third-party payers
The Customer may only assign their contract to a third party with the prior written agreement of HG-Hosting, except for a legal restructuring operation (merger, demerger) notified with supporting documents. HG-Hosting may assign all or part of the contract to an affiliated entity or acquirer of assets, subject to informing the Customer where the law requires it.
Any assignment or transfer of a service to another customer account is subject to HG Hosting's prior approval. Administrative fees, the amount of which is communicated before validation of the transfer, may be charged to the beneficiary.
Where payment is made by a third party (agency, subsidiary), the Customer remains jointly and severally liable for the contractual obligations and remains the main point of contact for technical and legal aspects.
